Work outside the agreed scope may be billed separately at our then-current rates.
3. Payment Terms
Unless otherwise stated in your proposal, projects may require a deposit before work begins, with the balance due upon completion or on the schedule set out in the proposal. Hosting, domain, maintenance, and other recurring services are billed in advance on a monthly or annual basis. Late or unpaid balances may result in suspension of Services, and accounts more than thirty (30) days past due may incur reasonable collection costs.
4. Client Responsibilities
You agree to provide accurate information and to supply content, images, logins, and feedback needed to complete your project in a timely manner. You represent that any materials you provide do not infringe the rights of others and that you have the right to use them. Project timelines depend on your timely cooperation.
5. Hosting, Domains, and Third-Party Services
Where we provide hosting or register domains on your behalf, you are responsible for keeping those services current. We are not responsible for outages, data loss, or issues caused by third-party providers, registrars, networks, or software. We recommend you maintain your own backups of important data. We may use third-party platforms (for example, analytics, payment processors, or content delivery networks) whose own terms and privacy practices apply.
6. Intellectual Property
Upon full payment, you own the final deliverables created specifically for you, except for any third-party assets, stock media, fonts, plugins, or open-source components, which remain subject to their own licenses. We retain ownership of our pre-existing tools, frameworks, and know-how, and we may display completed work in our portfolio unless you ask us in writing not to.
7. Warranties and Disclaimers
We provide our Services with reasonable skill and care. Except as expressly stated, the Site and Services are provided "as is" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Erie County, New York.
